VIM-INT-EN-1.3 | Edition dated 16 October 2026
ShopVimCenter Terms of Use
These Terms govern access to ShopVimCenter at https://vimgrace.com/vimcenter/ and its account functions. ShopVimCenter is an additional promotional and account resource within the ShopVimGrace service environment. It supports creators and partners; it does not itself operate a marketplace or conclude product purchases on this page.
1 Company and contractual documents
1.1. The service provider is the Company identified in the legal information at the end of these Terms. References to “we”, “us” and “Company” mean that company. “You” means the account holder or, where an authorised representative acts for an organisation, that organisation.
1.2. The Promotion Programme Participation Agreement and the Advertising and Content Rules govern approved programme participation. A remuneration schedule applies only to the programme, country and participant for which it has been made available and accepted. The Privacy Notice and Cookie Policy explain data practices; acknowledging them is not blanket consent to every processing activity.
1.3. Product sales, delivery, returns, product safety and statutory purchase rights are governed by the applicable ShopVimGrace checkout documents. These Terms neither replace those documents nor transfer the seller’s obligations to a creator. A conflict concerning a purchase must be resolved under the purchase contract and mandatory law.
2 Eligibility and international availability
2.1. You must be at least 18 and have full legal capacity under the law applicable to you. If the local age of majority is higher, that higher age applies. An organisation must act through a person authorised to bind it.
2.2. The Company may make functions and programmes available by country, subject to product availability, local advertising and business rules, sanctions, tax and payment capabilities. A website visit or selectable language does not mean that every country or function has been activated. The contracting company, supported country and applicable programme must be identified before participation is accepted.
2.3. You must provide accurate account and eligibility information and update material changes. The Company may ask for proportionate evidence when needed for programme admission, payment, security or a legal obligation. It will not request unnecessary identity documents as a routine condition of reading public information.
3 Registration and shared account
3.1. Registration in ShopVimCenter may also create or connect your ShopVimGrace customer account. The registration screen must explain that connection before submission. Access is verified using the available secure method, which may include email, password, a verification link or code, and other methods introduced with suitable notice.
3.2. Keep credentials confidential, use only accounts you are entitled to control, and promptly report suspected unauthorised access. You remain responsible for actions you authorise, but this clause does not make you liable for a security failure attributable to the Company or for conduct for which mandatory law excludes your liability.
3.3. Creating an account does not automatically approve you as a creator or partner and does not authorise you to represent the Company. The Company may operate more than one account for a person where its systems permit; each account has its own programme and referral attribution. Duplicate accounts must not be used for fabricated transactions, artificial recruitment, sanctions avoidance or manipulation of remuneration.
4 Accepting terms and electronic records
4.1. The applicable text must be accessible before acceptance, with a way to save or download it. Acceptance is recorded through an affirmative action identified on the screen; merely browsing, remaining on a page or rejecting optional cookies is not contractual or marketing consent.
4.2. Authenticated account actions, verified email confirmations and other lawful electronic methods may be used for notices and documents. Where a signature, qualified electronic signature or another form is legally required, the Company will use the required method rather than treating every checkbox as sufficient. Keep access to your registered email address and account messages.
4.3. The Company retains evidence of the version presented, the affirmative action, the account and the time of acceptance for a justified period. Separate optional marketing and cookie choices remain separate and may be withdrawn without withdrawing acceptance of these Terms.
5 Permitted use and service functions
5.1. You may use the functions enabled for your account to review approved information, submit an application, communicate with support, request approval of promotional materials, and view programme information and statements where eligible. Future paid functions require clear pricing and any legally required express agreement before a charge is incurred.
5.2. Do not interfere with security, access another person’s data, upload unlawful or infringing content, distribute malware, send unsolicited marketing, falsify identity or statistics, scrape protected information without a lawful basis, or manipulate referral attribution and orders. The Company may use proportionate controls and retain the evidence needed to investigate an incident.
5.3. Product points, estimated remuneration, dashboards and examples have the meaning set out in the applicable private remuneration terms. An estimate is not an assurance of profit or an unconditional amount payable. Technical information must be corrected where it is materially wrong, including errors adverse to a participant.
6 Company materials and account information
6.1. Company names, brands, software and materials remain the property of their owners. Access to a file or logo does not itself grant a right to publish it. The Advertising and Content Rules require approval of each promotional material and define the limited permissions that may be granted.
6.2. Confidential account information may be used for legitimate programme activity and professional advice. Do not disclose other users’ personal information, nonpublic programme schedules or protected business information without authority. Lawful reports to regulators, courts, professional advisers and protected whistleblowing are not restricted.
7 Service changes and interruptions
7.1. The Company maintains the service with reasonable care and may carry out maintenance, correct defects and change functions. It will give reasonable advance notice of a planned material interruption where practicable and preserve access to required records and earned amounts through an appropriate alternative process when necessary.
7.2. The service does not guarantee continuous availability, sales, followers, earnings or commercial success. This does not exclude any binding promise expressly made in an accepted schedule, the duty to account correctly, or mandatory rights concerning digital services and data security.
8 Restrictions and termination
8.1. The Company may restrict access when reasonably necessary to address a suspected breach, fraud, a security incident, legal requirements or an unsupported country. Except where prohibited or where advance explanation would prejudice a legitimate investigation, it will state the main reason, the scope of the restriction and a way to request review.
8.2. A temporary restriction does not by itself forfeit confirmed remuneration or permanently change a referral chain. Where a remediable breach is identified, the Company will ordinarily allow a reasonable opportunity to correct it; serious unlawful conduct, fraud or a continuing security threat may justify immediate termination. Any withheld disputed amount must be identifiable and linked to the issue being checked.
8.3. You may close the ShopVimCenter profile using the confirmed closure function or by emailing support, subject to proportionate identity verification. The Company records the effective time and sends confirmation. Closing ShopVimCenter does not automatically close a ShopVimGrace customer account or delete order records that must be retained. Programme settlement and chain changes are governed by the accepted private schedule.
8.4. Where mandatory intermediary service law applies to a particular function, its notice, reasons, complaint and redress requirements take priority over a contractual restriction procedure. Use the Company contact for a content notice or a request for review, identifying the material or decision and the reasons. This clause does not restrict a statutory reporting channel, order or remedy.
9 Liability and mandatory rights
9.1. Each party is responsible for loss it causes through a breach of its obligations, subject to applicable law, causation and reasonable mitigation. For participants acting in business, neither party is responsible for indirect loss or speculative lost opportunities to the extent that such limitation is lawful and reasonable.
9.2. No term excludes or limits liability where exclusion is prohibited, including liability for fraud, intentional wrongdoing, gross negligence where it cannot lawfully be limited, death or personal injury caused by negligence, or mandatory consumer, employment, data protection and product rights. The Company’s responsibility for its own advertising and products is not transferred by calling a participant independent.
10 Changes to these Terms
10.1. The Company may make proportionate changes for legal, security, service or operational reasons. It will normally give at least 15 calendar days’ advance notice of a material change, and 30 calendar days for an adverse remuneration change under the relevant schedule. A shorter period may apply where required by law or urgently necessary to prevent harm, with an explanation as soon as lawful and practicable.
10.2. Changes operate prospectively and do not remove already accrued rights. Where fresh acceptance is legally required or a change introduces a materially new obligation, the Company must obtain it before applying the change. You may stop using the service or end participation before the change takes effect without losing an entitlement already earned under the prior terms.
11 Complaints and applicable law
11.1. Send account or contractual complaints to manager@vimgrace.com or through support. We normally acknowledge a complaint within 5 business days and aim to provide a reasoned response within 15 business days; a binding shorter legal deadline takes priority. If more time is needed, we explain the reason and expected next step. Privacy requests follow the statutory process in the Privacy Notice.
11.2. Portuguese law governs these Terms, without depriving a person of mandatory protections of the law that would otherwise apply. A consumer may use any court and statutory dispute mechanism available under mandatory law. For disputes exclusively between businesses, the competent courts of Funchal, Portugal, have jurisdiction, subject to any mandatory jurisdiction rule.
11.3. Where a consumer dispute is within its competence, information about the Madeira Consumer Arbitration Centre is available at https://www.madeira.gov.pt/cacc. This reference does not assert Company membership or compel arbitration where consent or another legal condition is required. Further consumer complaint information is set out below. The discontinued EU ODR platform is not a current complaint channel.
11.4. These Terms do not waive mandatory local language rights. An English version alone does not permit launch in a country that requires another language for these contracts, notices or advertising.
